Welcome to CoralIQ.

These Terms of Service ("Terms") govern your access to and use of the CoralIQ website, applications, artificial intelligence features, integrations, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using CoralIQ, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account unless you have the permission and supervision of a parent or legal guardian.

By using CoralIQ, you represent that:

You have the legal capacity to enter into these Terms.
All information you provide is accurate and current.
You will keep your account information updated.
Your use of the Services complies with all applicable laws and regulations.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

Keep your password secure.
Notify CoralIQ immediately of unauthorized account access.
Be responsible for all activity occurring under your account.
Provide accurate registration information.

CoralIQ is not responsible for losses resulting from unauthorized use of your account caused by your failure to safeguard your credentials.

3. Description of the Services

CoralIQ provides software tools designed to assist aquarium hobbyists by allowing users to:

Track aquarium parameters
Record maintenance activities
Manage livestock and coral inventories
Monitor equipment
Store aquarium records
Analyze trends
Receive reminders
Utilize artificial intelligence features
Access optional third-party integrations

The Services may evolve over time and features may be added, modified, or removed.

4. Artificial Intelligence Features

CoralIQ includes AI-powered features intended to assist aquarium hobbyists.

AI-generated responses are informational only.

AI recommendations:

Are not guaranteed to be accurate.
May occasionally contain errors.
Should always be verified independently.
Should never replace appropriate testing or responsible aquarium husbandry.

You remain solely responsible for all decisions involving:

Livestock
Coral
Equipment
Water chemistry
Dosing
Feeding
Maintenance
Aquarium health

CoralIQ is not responsible for losses resulting from reliance on AI-generated content.

5. Acceptable Use

You agree not to:

Violate any applicable law.
Interfere with the operation of the Services.
Attempt unauthorized access.
Reverse engineer the Services except where permitted by law.
Upload malicious software.
Circumvent security measures.
Scrape or harvest data without permission.
Use automated systems that negatively impact platform performance.
Impersonate another person or organization.
Upload unlawful, abusive, fraudulent, or infringing content.

CoralIQ reserves the right to investigate suspected violations and take appropriate action.

6. User Content

You retain ownership of the information you submit to CoralIQ, including:

Aquarium records
Images
Maintenance logs
Water test results
Notes
AI prompts
Uploaded files

By submitting content, you grant CoralIQ a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and use that content solely for the purpose of operating, improving, securing, and providing the Services.

This license ends when your content is deleted from our active systems, subject to backup retention and legal obligations.

7. Intellectual Property

The CoralIQ platform, including its software, design, branding, graphics, logos, databases, AI workflows, documentation, and original content, is owned by CoralIQ or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not:

Copy
Sell
Redistribute
Modify
Create derivative works
License
Reverse engineer
Commercially exploit

any portion of the Services without prior written permission.

Nothing in these Terms transfers ownership of CoralIQ intellectual property to you.

8. Beta Features

Certain features may be identified as beta, preview, experimental, or early access.

These features:

May contain bugs.
May change without notice.
May be discontinued.
May experience interruptions.
May not perform as expected.

Your use of beta features is voluntary and at your own risk.

9. Subscriptions and Billing

Certain features of CoralIQ may require a paid subscription.

By purchasing a subscription, you agree to pay all applicable fees displayed at the time of purchase.

Unless otherwise stated:

Subscriptions renew automatically at the end of each billing period.
You authorize CoralIQ and its payment processor to charge your selected payment method for recurring subscription fees until canceled.
Prices are displayed before purchase and may include applicable taxes where required by law.

If a payment cannot be processed, CoralIQ may suspend or limit access to paid features until payment is successfully completed.

10. Cancellation

You may cancel your subscription at any time through your account settings.

Unless otherwise required by law:

Cancellation prevents future renewals.
Cancellation does not automatically generate a refund for previous billing periods.
Access to paid features continues until the end of the current billing period unless otherwise specified.

Deleting your CoralIQ account does not automatically cancel an active subscription. Users remain responsible for canceling recurring subscriptions through their account or payment provider.

11. Refunds

Unless required by applicable law or otherwise stated in a separate refund policy:

Subscription fees are generally non-refundable.
Partial billing periods are not prorated.
Failure to use the Services does not entitle users to a refund.

CoralIQ may, at its sole discretion, issue refunds or account credits in exceptional circumstances, including duplicate charges, billing errors, or technical issues that prevent access to purchased services.

12. Service Availability

While CoralIQ strives to provide reliable service, uninterrupted availability cannot be guaranteed.

The Services may occasionally be unavailable due to:

Scheduled maintenance
Emergency maintenance
Internet outages
Third-party provider failures
Software updates
Security incidents
Circumstances beyond CoralIQ's reasonable control

CoralIQ is not liable for temporary interruptions or downtime.

13. Third-Party Services

The Services may integrate with or link to third-party services, including:

Payment providers
Authentication providers
Artificial intelligence providers
Cloud hosting providers
Email delivery providers
Aquarium controller integrations
Analytics providers

CoralIQ does not control these third-party services and is not responsible for their availability, security, content, or privacy practices.

Your use of third-party services is governed by their own terms and privacy policies.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORALIQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
AVAILABILITY
SECURITY
ERROR-FREE OPERATION

CoralIQ does not guarantee that:

AI recommendations will be accurate.
Aquarium data will always be correct.
Services will operate without interruption.
Defects will be corrected immediately.
Services will always meet user expectations.

15. Aquarium Responsibility

CoralIQ is an informational software platform.

Users remain solely responsible for:

Livestock health
Coral health
Water chemistry
Equipment operation
Feeding
Dosing
Maintenance decisions
Emergency responses

CoralIQ is not responsible for livestock loss, coral loss, equipment failure, property damage, water damage, financial loss, or any consequences arising from decisions made using the Services or AI-generated recommendations.

Users should independently verify all critical aquarium decisions through appropriate testing, manufacturer guidance, or qualified professionals.

16. Limitation of Liability

To the maximum extent permitted by law, CoralIQ and its owners, employees, contractors, licensors, affiliates, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of the Services.

This includes, without limitation:

Lost profits
Lost data
Loss of livestock
Loss of coral
Equipment damage
Property damage
Business interruption
Personal inconvenience

Where liability cannot be excluded, CoralIQ's total aggregate liability shall not exceed the greater of:

The total amount paid by you to CoralIQ during the twelve (12) months preceding the event giving rise to the claim; or
One hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless CoralIQ, its owners, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, expenses, or legal fees arising from:

Your use of the Services;
Your violation of these Terms;
Your violation of any applicable law or regulation;
Your infringement of any third-party rights;
Content you upload or submit to CoralIQ.

This obligation survives termination of your account.

18. Suspension and Termination

CoralIQ reserves the right to suspend, restrict, or terminate access to the Services at any time, with or without notice, if we reasonably believe you have:

Violated these Terms;
Engaged in fraudulent or abusive activity;
Attempted unauthorized access to the Services;
Interfered with the security or operation of CoralIQ;
Used the Services in a manner that could harm CoralIQ or its users.

You may stop using CoralIQ and delete your account at any time.

Termination does not relieve you of any obligations incurred before termination, including outstanding payment obligations.

19. Service Modifications

CoralIQ continually improves and evolves the Services.

We may:

Add features;
Remove features;
Modify functionality;
Change subscription plans;
Introduce new services;
Retire existing features.

Where practical, we will make reasonable efforts to notify users before significant changes that materially affect the Services.

20. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the Effective Date and Version number at the beginning of this document.

Where required by law, we will provide additional notice before material changes become effective.

Your continued use of CoralIQ after updated Terms become effective constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State in which CoralIQ is legally organized, without regard to conflict of law principles.

Nothing in these Terms limits any consumer protections that cannot be waived under applicable law.

22. Dispute Resolution

Before filing legal proceedings, both you and CoralIQ agree to make a good-faith effort to resolve disputes informally by contacting the other party.

If a dispute cannot be resolved informally, it shall be resolved through the courts or other dispute resolution procedures available under applicable law in the governing jurisdiction, unless mandatory law provides otherwise.

Nothing in this section prevents either party from seeking emergency injunctive or equitable relief when necessary.

23. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any invalid provision shall be interpreted as closely as possible to reflect its original intent while remaining enforceable.

24. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and CoralIQ regarding the Services.

They supersede all prior discussions, understandings, or agreements relating to the Services.

26. Acknowledgement

By creating an account or using CoralIQ, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
